Business Listing Review

All listings are subject to review and approval by BAIU.

BAIU reserves the right to approve, deny, suspend, or remove any business listing that does not comply with BAIU policies, community standards, or applicable law.

Business directory contributions support BAIU’s charitable and organizational mission. Directory placement and promotional opportunities are provided at BAIU’s discretion and may vary based on campaign objectives, available resources, and organizational priorities.

Business Standards and Content Requirements

All businesses participating in the BAIU Business Directory must comply with all applicable federal, state, local, and international laws, regulations, and licensing requirements.

Businesses shall not advertise, promote, distribute, facilitate, or offer any content, products, or services that are unlawful or otherwise prohibited by applicable law.

Without limiting the foregoing, BAIU reserves the right, in its sole discretion, to refuse, suspend, remove, or permanently prohibit any listing, advertisement, promotional material, website link, logo, image, video, or other submitted content that contains or promotes:

  • Sexually explicit or pornographic content.
  • Illegal products or services.
  • Unlawful drug trafficking or distribution.
  • Human trafficking or exploitation.
  • Child exploitation or child sexual abuse material.
  • Fraudulent, deceptive, or misleading business practices.
  • Counterfeit or stolen goods.
  • Intellectual property infringement.
  • Defamatory, libelous, or unlawful content.
  • Malware, phishing, hacking services, or other unlawful cyber activities.
  • Content that violates applicable advertising, consumer protection, or public safety laws.

BAIU further reserves the right to remove any listing or promotional material that, in its reasonable judgment, could expose BAIU, its members, or the public to legal, regulatory, reputational, financial, or operational risk.

Businesses are solely responsible for ensuring that all submitted materials comply with applicable law and that they possess all necessary rights, licenses, permissions, and authorizations to publish such materials.

Business Standards and Hospitality Requirements

Each participating business shall maintain professional standards of conduct and customer service consistent with the values and mission of the Black American International Union (BAIU).

Businesses are expected to provide customers, members, guests, employees, and the general public with a safe, respectful, lawful, and welcoming environment.

Businesses listed within the BAIU Business Directory shall strive to maintain high standards of professionalism, integrity, honesty, cleanliness, hospitality, customer satisfaction, ethical business practices, and legal compliance.

Businesses shall conduct operations in a manner that promotes respect, fairness, courtesy, and professionalism toward all customers and visitors.

Failure to maintain these standards, repeated substantiated customer complaints, fraudulent or deceptive business practices, unlawful conduct, or actions that materially damage the reputation, mission, or interests of BAIU may result in suspension or permanent removal from the BAIU Business Directory, subject to BAIU’s review procedures.

BAIU reserves the right, in its sole discretion and consistent with applicable law, to review complaints, request corrective action, conduct reasonable investigations, and approve, deny, suspend, or remove any business listing that fails to maintain these standards.

BAIU BUSINESS DIRECTORY TERMS OF PARTICIPATION, LEGAL DISCLAIMER, AND PARTICIPATION AGREEMENT

Duration: These Terms shall remain in full force and effect until amended or repealed by official action of the Black American International Union (BAIU).

The Black American International Union (BAIU) (“BAIU,” “we,” “our,” or “us”) operates the BAIU Business Directory as a voluntary membership benefit for approved BAIU members.

By submitting a business listing, making a contribution, purchasing promotional services, using this directory, or participating in any BAIU Business Directory program, each applicant, business owner, representative, and participant (“Participant”) acknowledges, understands, and agrees to be legally bound by these Terms.


1. Eligibility

To qualify for placement within the Official BAIU Business Directory, applicants must:

  • Submit a BAIU Lineage Membership Application.
  • Successfully complete the BAIU membership verification process.
  • Receive official approval for membership.
  • Remain in good standing with BAIU.
  • Comply with all BAIU governing documents, policies, and applicable laws.
  • Submit accurate business information.
  • Select an approved Business Directory listing option.

2. Independent Businesses

Businesses listed within the BAIU Business Directory are independent businesses.

Directory placement does not create or imply any partnership, joint venture, franchise, agency relationship, employment relationship, fiduciary relationship, endorsement, certification, guaranty, or representation between BAIU and any listed business.

Each listed business operates independently and remains solely responsible for every aspect of its operations.


3. Business Owner Representations

Each business owner represents and warrants that:

  • All submitted information is true, accurate, current, and complete.
  • They legally own or have authorization to use all submitted logos, photographs, trademarks, videos, graphics, business names, and promotional materials.
  • Their business complies with all applicable federal, state, local, tribal, and international laws.
  • They possess all licenses, permits, certifications, registrations, and insurance required to lawfully conduct business.
  • Their products and services comply with applicable consumer protection and advertising laws.

4. Directory Approval

BAIU reserves the sole discretion to:

  • Approve or deny any listing.
  • Edit listings for formatting or policy compliance.
  • Remove listings that violate BAIU policies.
  • Suspend listings during investigations.
  • Decline promotional requests.
  • Modify directory categories.
  • Reorganize directory placement.
  • Remove businesses that are no longer members in good standing.

5. Promotional Services

Business promotions remain entirely within the editorial discretion of BAIU.

Promotional opportunities may include:

  • Social media features
  • Business spotlights
  • Product demonstrations
  • Product reviews
  • Interviews
  • Educational content
  • Community campaigns
  • Website features
  • Newsletters
  • Video productions

BAIU reserves the unrestricted right to determine:

  • Whether promotional content will be produced.
  • Which businesses receive promotional opportunities.
  • Publication schedules.
  • Publication platforms.
  • Promotional frequency.
  • Campaign duration.
  • Creative direction.
  • Whether promotional content is postponed, modified, or canceled.

Nothing contained herein guarantees advertising, exposure, customer traffic, revenue, sales, endorsements, referrals, or commercial success.


6. Contributions

Directory contributions support the charitable, educational, cultural, economic development, and organizational mission of BAIU.

Except where required by applicable law or otherwise provided in a separate written agreement, contributions are non-refundable.


7. Intellectual Property

All BAIU names, seals, logos, trademarks, service marks, website content, graphics, publications, photographs, videos, organizational documents, promotional materials, and branding remain the exclusive property of BAIU or their respective owners.

No person may reproduce, distribute, copy, modify, sell, publish, or commercially exploit any BAIU intellectual property without prior written authorization.


8. No Endorsement

Directory inclusion shall not be interpreted as:

  • Legal certification
  • Professional certification
  • Product approval
  • Service approval
  • Safety certification
  • Warranty
  • Guarantee
  • Recommendation
  • Financial advice
  • Medical advice
  • Legal advice
  • Investment advice

Consumers are solely responsible for performing their own due diligence before purchasing products or services.


9. Assumption of Risk

Every person using the Business Directory voluntarily assumes all risks associated with purchasing products, obtaining services, entering contracts, communicating with businesses, attending events, or conducting transactions with listed businesses.

BAIU assumes no responsibility for disputes between businesses and consumers.


10. Limitation of Liability

To the fullest extent permitted by applicable law, BAIU, its Founder, officers, directors, volunteers, employees, committee members, affiliates, successors, assigns, representatives, and agents shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, punitive, economic, or other damages arising out of or relating to:

  • Business listings.
  • Business operations.
  • Product defects.
  • Service disputes.
  • Consumer complaints.
  • Customer injuries.
  • Contract disputes.
  • Intellectual property disputes.
  • Advertising claims.
  • Data submitted by businesses.
  • Promotional campaigns.
  • Website interruptions.
  • Technical failures.
  • Business relationships formed through the directory.

Nothing in this section limits liability where such limitation is prohibited by applicable law.


11. Indemnification

Each participating business agrees to defend, indemnify, and hold harmless BAIU, its Founder, officers, directors, employees, volunteers, committees, affiliates, successors, representatives, and agents from any claim, demand, lawsuit, arbitration, regulatory proceeding, investigation, judgment, settlement, fine, penalty, liability, damage, loss, expense, or reasonable attorneys’ fees arising from or relating to:

  • The business owner’s operations.
  • Products or services sold.
  • Customer complaints.
  • Contract disputes.
  • Product liability.
  • Negligence.
  • Personal injury claims.
  • Property damage.
  • Employment disputes.
  • Advertising claims.
  • Intellectual property claims.
  • Privacy violations.
  • Data protection violations.
  • Consumer protection violations.
  • Tax matters.
  • Licensing matters.
  • Regulatory investigations.
  • False or misleading statements.
  • Violations of law.
  • Breach of these Terms.

12. Insurance

Businesses are solely responsible for maintaining any insurance required by law or appropriate for their operations, including general liability, professional liability, product liability, cyber liability, commercial property, commercial automobile, and workers’ compensation coverage where applicable.


13. Removal of Listings

BAIU may remove any listing immediately if, in its judgment, continued publication could expose the organization or its members to legal, financial, reputational, operational, or safety risks, or if the listing violates these Terms or applicable law.


14. Governing Documents

Participation constitutes acceptance of the:

  • BAIU Constitution
  • BAIU Bylaws
  • Membership Agreement
  • Business Directory Policies
  • Website Terms of Use
  • Privacy Policy
  • Future amendments adopted in accordance with BAIU governing procedures

15. Governing Law and Venue

These Terms shall be governed by the law specified in BAIU’s governing documents and applicable law. Any dispute shall be brought in the forum designated by those governing documents or otherwise required by applicable law.


16. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.


17. Entire Agreement

These Terms, together with the BAIU Constitution, Bylaws, Membership Agreement, Business Directory Policies, Privacy Policy, Website Terms of Use, and any written agreements executed by authorized BAIU representatives, constitute the complete agreement governing participation in the BAIU Business Directory.


18. Electronic Acceptance

By submitting a business listing, making a contribution, checking the acceptance box, or clicking “Submit”, the Participant acknowledges that they have read, understood, and agree to be legally bound by these Terms. Where permitted by applicable law, this electronic acceptance has the same force and effect as a handwritten signature.

LEGAL DISCLAIMER AND PURPOSE OF THE BAIU BUSINESS DIRECTORY

The Black American International Union (BAIU) Business Directory is a voluntary membership program established to promote lawful commerce, economic development, entrepreneurship, professional networking, and community investment among eligible members of the Black American International Union.

BAIU was established, in part, in response to its view that Black Americans have experienced the enduring effects of historical injustices and discriminatory practices, including slavery, segregation, exclusion from economic opportunities, unequal access to capital and credit, and other documented forms of racial discrimination. BAIU further recognizes continuing public discussion, research, and legal developments concerning systemic racism and its potential effects on economic opportunity.

Consistent with its organizational mission, BAIU created the Business Directory to encourage economic cooperation, strengthen business development, increase visibility for participating businesses, promote entrepreneurship, encourage lawful consumer support, foster professional networking, and generate financial support for future Black American International Union (BAIU) campuses, educational institutions, cultural centers, workforce development initiatives, economic development projects, and other charitable and community programs.

The Business Directory is intended solely as an informational resource for members and the public. Inclusion within the directory does not constitute certification, accreditation, endorsement, recommendation, partnership, agency, joint venture, employment relationship, guaranty, warranty, or legal representation by BAIU.

Each participating business is an independent business entity and remains solely responsible for its products, services, employees, advertising, customer relationships, contracts, pricing, licensing, permits, tax obligations, regulatory compliance, intellectual property, and all other legal responsibilities arising from its operations.

BAIU does not independently inspect, investigate, certify, monitor, guarantee, warrant, or verify the quality, legality, safety, effectiveness, merchantability, fitness for a particular purpose, financial condition, or performance of any listed business, product, or service. Users of the directory are solely responsible for conducting their own independent due diligence before entering into any transaction or contractual relationship.

Each participating business represents and warrants that all submitted information is truthful, accurate, complete, and current; that it possesses all required licenses, permits, registrations, certifications, insurance, and legal authority necessary to conduct business; and that it will comply with all applicable federal, state, local, tribal, and international laws and regulations.

Businesses participating in the BAIU Business Directory are expected to maintain high standards of professionalism, hospitality, integrity, lawful business practices, customer service, cleanliness, and ethical conduct. BAIU reserves the right, consistent with its governing documents and applicable law, to review complaints and to approve, deny, suspend, edit, or remove any business listing that fails to maintain these standards or otherwise violates BAIU policies or applicable law.

Businesses shall not submit, advertise, promote, distribute, or facilitate content, products, or services that are unlawful or otherwise prohibited by applicable law, including sexually explicit or pornographic content, illegal products or services, fraudulent or deceptive business practices, counterfeit goods, intellectual property infringement, or other unlawful material. BAIU reserves the right to refuse or remove any listing or promotional content that, in its reasonable judgment, could expose BAIU, its members, or the public to legal, regulatory, financial, reputational, or operational risk.

Directory placement, featured listings, promotional opportunities, social media campaigns, business spotlights, product demonstrations, interviews, reviews, newsletters, and other marketing initiatives are provided solely at the discretion of BAIU. Participation in the directory does not guarantee advertising, promotional services, customer referrals, increased sales, business growth, financial success, discounts, campus access, or any other specific benefit unless expressly provided by BAIU.

All contributions associated with directory listings, featured listings, memberships, sponsorships, or promotional opportunities support the charitable, educational, cultural, economic development, and organizational mission of BAIU. Except where required by applicable law or expressly provided in a separate written agreement, contributions are non-refundable.

To the fullest extent permitted by applicable law, BAIU, its founders, officers, directors, employees, volunteers, representatives, committees, affiliates, successors, and assigns disclaim liability for disputes arising solely from transactions between directory users and participating businesses. Nothing in this disclaimer limits liability where such limitation is prohibited by law.

BAIU reserves the right to modify, suspend, discontinue, or remove any listing, membership category, promotional service, directory feature, benefit, or program in accordance with its governing documents and applicable law.

Participation in or use of the BAIU Business Directory constitutes acknowledgment and acceptance of the BAIU Constitution, Bylaws, Membership Agreement, Business Directory Terms, Website Terms of Use, Privacy Policy, and all other governing documents adopted by BAIU, as amended from time to time.

All rights not expressly granted herein are reserved by the Black American International Union (BAIU).
